1. Services

We provide restaurant growth and turnaround services including strategy, offer creation, marketing systems, pricing guidance, sales processes, and performance tracking. We do not guarantee specific financial results.

2. No Guarantee of Results

Results vary by location, execution, staff cooperation, and market conditions. Any revenue examples are illustrative only and not promises.

3. Client Responsibilities

Client agrees to:
Provide accurate business data
Implement recommendations promptly
Ensure staff participation
Maintain operational compliance
Failure to execute may limit results.

4. Performance Based Structure

If applicable, performance fees are calculated based on mutually agreed metrics. Client agrees to provide transparent access to sales data required for verification.

5. Payment Terms

All fees are due as agreed in writing. Late payments may result in service suspension. Fees paid are non refundable.

6. Intellectual Property

All frameworks, systems, scripts, materials, and strategies remain our intellectual property. Client receives a limited license for internal business use only.

7. Confidentiality

Both parties agree to keep proprietary information, data, and strategies confidential during and after the engagement.

8. Term and Termination

Either party may terminate with written notice per the agreement terms. Outstanding fees remain due upon termination.

9. Limitation of Liability

We are not liable for indirect, incidental, or consequential damages including lost profits. Total liability is limited to fees paid.

10. Independent Contractor

We act as an independent contractor. No partnership, employment, or joint venture is created.

11. Compliance

Client is responsible for all licenses, health regulations, labor laws, and local compliance.

12. Governing Law

This agreement is governed by the laws of the state specified in the primary service agreement.

13. Acceptance

By engaging our services, client agrees to these Terms and Conditions in full.
